This Acceptable Use Policy ("AUP") is issued by NeuralShift, Deep Learning Services, Lda. ("NeuralShift") and governs the use of Affine by all Authorised Users, each of whom is bound by it, and accepts it in full, as a condition of accessing the Software.
§ 1Glossary
For the purposes of this AUP, the following terms have the meanings set out below:
- Affine / Software / Service
- NeuralShift's web-based AI-powered platform for document analysis and legal research, made available on a Software-as-a-Service (SaaS) basis.
- Applicable Law
- The laws and regulations applicable to the use of the Software, including those relating to the protection of personal data.
- Authorised User
- Any natural person authorised to access and use Affine under a valid Subscription Plan.
- Client
- The natural or legal person that has purchased an Affine's Subscription Plan.
- Generative AI
- Artificial-intelligence technology that generates content, such as text, in response to inputs.
- Misuse
- Any breach of this AUP by an Authorised User.
- Output
- Content generated by the Software in response to User Content.
- Platform
- The Software together with the infrastructure on which it operates.
- User Account
- The account through which an Authorised User accesses the Software.
- User Content
- Data, documents, and materials uploaded by an Authorised User to the Platform while using the Software.
§ 2Prohibited uses
The following uses of the Software are expressly prohibited:
- Sharing access credentials with third parties;
- Using the Software for unlawful purposes or in a manner that violates Applicable Law;
- Attempting to extract source code or algorithms by means of reverse engineering or any equivalent method;
- Using the Software contrary to any documentation or instructions that NeuralShift makes available, or for unauthorised automated activities;
- Modifying or creating derivative works of the Software without NeuralShift's prior express written consent;
- Removing intellectual property notices from the Software or any Output;
- Using the Software, or any Output, to develop competing products, to train, fine-tune, or develop any artificial-intelligence or machine-learning model, or to carry out benchmarking activities for competitive purposes or for the benefit of a competitor;
- Reselling, distributing, or sub-licensing access to the Software;
- Overloading or interfering with the integrity of the Platform;
- Attempting to gain unauthorised access to the Software, the Platform, or any related system;
- Introducing malicious software ("malware") into the Software or the Platform;
- Storing or transmitting material through the Software or the Platform that is unlawful to store or transmit under Applicable Law;
- Without prejudice to NeuralShift's information security obligations, uploading, inputting, or otherwise submitting to the Software any content that the Authorised User is not legally or professionally authorised to process through a third-party cloud-based service without prior pseudonymisation or anonymisation;
- Attempting to manipulate, override, or circumvent the Software's system instructions, safety controls, or intended behaviour, whether through prompt injection, adversarial inputs, or any equivalent technique;
- Accessing or using the Software from, or for the benefit of, any jurisdiction or person subject to applicable trade sanctions or export control restrictions, including those maintained by the European Union, the United Nations, the United Kingdom, or the United States;
- Using any automated or programmatic method (including scraping, harvesting, crawling, or bots that simulate human activity) to extract data or Outputs from the Software or the Platform, save as expressly authorised in writing by NeuralShift;
- Submitting to the Software any genetic or biometric data, payment card data, or special categories of personal data within the meaning of Article 9 of the GDPR, save where strictly necessary, lawfully authorised, and subject to prior anonymisation or pseudonymisation;
§ 3User accounts & credentials
The email address associated with each User Account must be in the name of, and correspond to, a natural person; the use of generic, functional, or group email addresses that prevent the unambiguous identification of the Authorised User is not permitted.
Each Authorised User is solely responsible for the confidentiality of their access credentials, except in cases of security breaches neither caused by nor attributable to the Authorised User. In any event, any unauthorised or suspected use must be reported immediately to the Client and, wherever possible, to NeuralShift through the contact details in Section 10.
Each User Account is personal to the Authorised User in whose name it is issued. The sharing, assignment, or disclosure of access credentials to any other person, whether or not that person is an Authorised User or otherwise associated with the Client, constitutes a serious breach of this AUP and may result in the immediate closure of the relevant User Account.
§ 4Intellectual property
Intellectual property and industrial property rights in the Platform, including the Software, its architecture, interfaces, and technical documentation, belong exclusively to NeuralShift. Use of the Software does not transfer any rights over these elements.
As between the parties, the Authorised User or the Client retains ownership of the content submitted to the Software and of the Outputs generated from it; NeuralShift claims no ownership of the Outputs.
To the extent that copyright or other intellectual property rights subsist in an Output, those rights vest in the Authorised User or the Client. Outputs that merely reproduce or transcribe submitted content, or that are generated without a creative contribution from the Authorised User, may not attract intellectual property protection, and identical or similar Outputs may be generated for other users.
The Authorised User and the Client are responsible for ensuring that they hold all rights necessary to submit to the Software the content they upload, and must not submit content that they are not entitled to use under Applicable Law. Where the use of an Output infringes the copyright or other intellectual property rights of third parties, in particular where it reproduces protected content otherwise than under a lawful exception, licence, or right of quotation, the Client bears exclusive responsibility for any resulting infringement.
The Authorised User and the Client grant NeuralShift a limited, non-exclusive, non-transferable, and non-sublicensable licence, for the duration of their subscription to the Software, to host, store, process, and display the content submitted to the Software, solely to the extent necessary to provide, maintain, and secure the Software.
Where an Authorised User or the Client provides feedback, suggestions, or proposals concerning the Software, NeuralShift may use them without restriction and without any obligation to provide compensation, and any intellectual property rights resulting therefrom vest exclusively in NeuralShift.
§ 5Outputs & AI transparency
The Software uses Generative AI technology to analyse User Content and generate Outputs. Outputs are generated dynamically and do not represent the position, opinion, or advice of NeuralShift. NeuralShift is not a law firm and the Outputs do not constitute legal advice.
Outputs may not be accurate, current, or complete. Each Authorised User is responsible for validating the adequacy of Outputs for their specific professional context prior to any use, in particular where Outputs concern legal, regulatory, or compliance matters or may affect the rights or interests of third parties.
NeuralShift does not use User Content for training or fine-tuning Generative AI models.
User Content uploaded to the Platform must not contain personal data except where strictly necessary for the intended use, in which case the Authorised User is advised to take prior steps to anonymise or pseudonymise any information subject to confidentiality obligations under Applicable Law or professional conduct rules.
Authorised Users remain responsible for disclosing the AI-generated nature of Outputs where required by Applicable Law, applicable professional conduct rules, court rules, or the reasonable expectations of the recipient.
Each Authorised User shall ensure meaningful human review of any Output before it is used and shall not rely on Outputs as the sole basis for any decision producing legal effects on, or similarly significantly affecting, a natural person; the Software must not be used for any purpose prohibited under Regulation (EU) 2024/1689, nor for any purpose classified as high-risk by that Regulation, including in the contexts of law enforcement or the administration of justice, save, in the case of high-risk use only, where all applicable requirements are met by the Client as deployer.
§ 6User rights
Each Authorised User may:
- Access information made available by NeuralShift on the functioning and limitations of the Software;
- Use the explainability and traceability mechanisms for Outputs available on the Platform, including identification of the sources used and explanation of relevance criteria, subject to elements protected by trade secrets or intellectual property rights;
- Contest Outputs that the Authorised User considers inaccurate or otherwise problematic, using the reporting means provided in Section 10.
Where Outputs raise doubts as to compliance with Applicable Law, infringement of third-party rights, or contain inaccurate content, the relevant Output shall be immediately discontinued and reported to NeuralShift through the contact details in Section 10. NeuralShift may request additional information for the purposes of investigation.
§ 7Enforcement
Any breach of this AUP by an Authorised User constitutes Misuse and may result in:
- Immediate suspension of the relevant User Account by NeuralShift; and/or
- Termination of the Client's subscription.
The Client is responsible for ensuring that all Authorised Users are aware of and comply with this AUP.
Where NeuralShift has reasonable grounds to suspect Misuse, it may, on a precautionary basis and without prior notice, suspend or restrict access to the relevant User Account for such period as is reasonably necessary to investigate the suspected Misuse and to protect the Software, the Platform, and other Authorised Users. Such precautionary suspension is without prejudice to the consequences set out in this Section 7 and shall not constitute a breach by NeuralShift.
NeuralShift may monitor use of the Software to the extent necessary to detect, prevent, and address Misuse and to protect the security and integrity of the Platform. Such monitoring is limited to usage, account, and technical information and to metadata generated through the use of the Software, and does not extend to the substance of User Content. Where required to do so under Applicable Law, NeuralShift may disclose information relating to Misuse to a competent authority.
The rights and remedies set out in this Section 7 are cumulative and are in addition to, and without prejudice to, any other rights or remedies available to NeuralShift at law or otherwise.
§ 8Microsoft 365 Copilot Add-in
The Software is also made available as a declarative agent and connected plugin for Microsoft 365 Copilot (the "Add-in"), enabling Microsoft 365 Copilot to return Outputs grounded in, and cited to, the Affine knowledge layer; references in this AUP to the Software and to the Platform include the Add-in, and every provision of this AUP applies to its use.
Use of the Add-in requires both a valid subscription to the Software and a valid Microsoft 365 Copilot licence held by the Authorised User, and no right to use the Software is granted by the acquisition or installation of the Add-in through the Microsoft Marketplace alone.
The Add-in operates within Microsoft 365 Copilot, the provision of which is governed by the Authorised User's own agreement with Microsoft; this AUP governs the Software and the processing carried out by NeuralShift from the moment a query is received by its servers, and nothing in this AUP modifies the terms applicable to Microsoft 365 Copilot itself.
Before any data is transmitted to the Software through the Add-in, Microsoft 365 Copilot requests the Authorised User's confirmation, which the Authorised User must not disable, bypass, or automate; the restrictions on the submission of content set out in the Prohibited Uses section apply in full to any content shared through the Add-in.
Outputs returned through the Add-in remain subject to the Outputs and AI Transparency section, and each Authorised User remains responsible for validating their adequacy before use and for disclosing their AI-generated nature where required.
§ 9Changes to this Policy
NeuralShift reserves the right to update this AUP on reasonable prior written notice to the Client. Continued use of the Software following the end of the notice period constitutes acceptance of the revised AUP.
